Terms of Service

1. Acceptance of Terms

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. The Platform and User Roles

The Platform allows Users to create, share, and copy user-generated data, including but not limited to AI prompts, text, images, videos, audio, and other custom components (“User Content”). The Platform may offer different user roles (e.g., Paid Users, Admins, Guests), which govern your level of access and permissions.

3. User Accounts

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We utilize third-party services like Clerk.com for user authentication, and your use of such services is subject to their terms.

4. Acceptable Use and Content Guidelines

You agree not to misuse the Platform or help anyone else to do so. You agree not to, and not to attempt to, do any of the following in connection with the Platform:

• Use the Platform for any illegal purpose or in violation of any local, provincial, national, or international law;

• Upload, post, or share any User Content that is fraudulent, defamatory, obscene, pornographic, vulgar, or offensive;

• Share User Content that promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;

• Upload or share content that infringes, misappropriates, or violates a third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy;

• Share AI prompts designed to generate harmful, abusive, illegal, or sexually explicit content, or prompts intended to bypass the safety mechanisms of AI systems;

• Interfere with or disrupt the integrity or performance of the Platform, our servers, or networks;

• Attempt to gain unauthorized access to the Platform or its related systems or networks.

We reserve the right, but are not obligated, to review and remove or disable access to any User Content for any reason, including User Content that we believe, in our sole discretion, violates these Terms.

5. User Content and License Grant

You retain ownership of any intellectual property rights that you hold in your User Content. We do not claim ownership of your User Content. However, by creating, uploading, or sharing public User Content on or through the Platform, you grant MyiWorlds Digital Ventures Limited a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods, now known or later developed. This license is for the limited purpose of operating, developing, providing, promoting, and improving the Platform and researching and developing new ones.

6. Copying and Derivative Works

Our Platform allows users to “copy” User Content created by others, which may involve creating their own modified version. By submitting User Content to the Platform, you acknowledge and agree that:

• Other users may view, use, and create derivative versions of your User Content as permitted by the Platform's functionality;

• The Platform may maintain attribution to your original User Content when it is copied;

• You cannot withdraw permission for others to copy User Content you have already made public on the Platform.

7. Copyright Policy (Notice and Takedown)

MyiWorlds Digital Ventures Limited respects the intellectual property rights of others and expects its users to do the same. In accordance with Canada's Copyright Act and as a matter of good practice, we will respond to notices of alleged copyright infringement. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify our copyright agent. For your complaint to be valid, you must provide the following information in writing:

• An electronic or physical signature of a person authorized to act on behalf of the copyright owner;

• Identification of the copyrighted work that you claim has been infringed;

• Identification of the material that is claimed to be infringing and where it is located on the Service;

• Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and e-mail address;

• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and

• A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

8. Fees and Payments

Access to certain features of the Platform may require payment of subscription fees. All fees are non-refundable, except as required by law. We reserve the right to change our subscription fees upon reasonable advance notice.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MYIWORLDS DIGITAL VENTURES LIMITED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

WE ARE NOT LIABLE FOR ANY CONTENT GENERATED BY THIRD-PARTY AI MODELS USING PROMPTS OBTAINED FROM OUR PLATFORM. YOU AGREE TO USE CAUTION AND INDEPENDENTLY VERIFY ANY AI-GENERATED CONTENT.

10. Indemnification

You agree to defend, indemnify, and hold harmless MyiWorlds Digital Ventures Limited and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Platform.

11. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. We reserve the right to retain user data after termination as necessary for legal or operational purposes.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, will be determined by binding arbitration in Nanaimo, British Columbia, Canada.

13. General Terms

We reserve the right to modify these Terms at any time. If we make changes that are material, we will provide you with reasonable notice prior to the changes taking effect. By continuing to use the Platform after those revisions become effective, you agree to be bound by the revised terms.
